The C12 Group, LLC (\u201c<\/span>C12<\/b>\u201d, \u201c<\/span>we<\/b>\u201d, \u201c<\/span>us<\/b>\u201d, or \u201c<\/span>our<\/b>\u201d) operates the\u00a0<\/span>www.c12app.com<\/b><\/a>\u00a0and\u00a0<\/span>www.joinc12.com<\/b><\/a>\u00a0website (the \u201cSites\u201d), C12 mobile app (the \u201c<\/span>App<\/b>\u201d) and related C12 service offerings (collectively, the \u201c<\/span>Services<\/b>\u201d). This Member Covenant (\u201c<\/span>Covenant<\/b>\u201d) applies to our members and supplements and forms part, collectively, of our C12 Terms of Service (\u201c<\/span>Terms of Service<\/b>\u201d) available at [insert exact URL, not merely a link]. Please read this Covenant, the Terms of Service, and our Privacy Policy carefully before using our Services.\u00a0<\/span><\/p>\n

Qualification Criteria for\u00a0 C12 CEO Membership<\/span><\/h2>\n

CEO membership is limited to Christians who are business owners, CEOs, Presidents, or business unit general managers who are responsible for at least 5 employees. Each CEO is encouraged to enroll their company leaders as Key Players (\u201c<\/span>KPs<\/b>\u201d). KPs are not required to profess or identify as Christians but are expected to participate fully and abide by this Covenant and any other of our guidelines for membership. <\/span>Being a member is subject to payment of recurring membership fees, which will be described and collected from each member by the local C12 community to which the member belongs.<\/span><\/p>\n

Membership Basics<\/span><\/h2>\n

Members meet monthly and commit to faithful attendance. This is defined as attending at least 10 of 12 monthly meetings each year and avoiding absence at two consecutive meetings. As an interactive peer community, the effective functioning of group relationships relies on the stability, timeliness, and understanding that accompany faithful attendance and transparency. Members generally have sufficient control over their calendars to enable such participation.<\/span><\/p>\n

Each CEO member will also select a mutually agreeable time\/location (e.g. workplace) each month to meet for 60 minutes with the C12 Chair for one-on-one discussion and counsel (\u201c<\/span>FOCUS60<\/b>\u201d).<\/span><\/p>\n

C12 member interactions are predicated on confidentiality to promote open sharing and fellowship. C12 reserves the right to use information disclosed by members regarding their business or organization on an aggregated and\/or de-identified basis to provide certain high-level trends or metrics across members for the benefit of the entire membership (\u201c<\/span>C12 Analysis<\/b>\u201d). This bird\u2019s eye view from C12 is not intended to identify the individual member or their company. <\/span>We reserve the right to disclose any C12 Analysis as needed if requested by law enforcement agencies or if we are required to do so by law, treaty, regulation, subpoena, court order, or by a government entity, or disclose it if necessary to conduct investigations of possible breaches of law, to cooperate in any legal investigation or to identify, contact, or bring legal action against someone who may be violating any agreement with us.<\/span><\/p>\n

General Member Covenant of Mutual Benefit<\/span><\/h2>\n

Each member hereby acknowledges and commits to the following:\u00a0<\/span><\/p>\n

  1. I agree that I do\/will fulfill the requirements of \u201cQualification\/Calling\u201d and \u201cMembership Basics\u201d above.<\/span><\/li>\n
  2. I agree to maintain strict confidentiality, never sharing another member\u2019s business, relationships, or personal details outside their Business Forum.<\/span><\/li>\n
  3. I will not solicit other members for services or products; solicitation is prohibited. Business relationships within C12 may occur naturally, but a Business Forum is not a lead-sharing or networking group.<\/span><\/li>\n
  4. I am aware of the C12 doctrine statement and agree to refrain from divisive behavior while embracing the pursuit of God\u2019s best in all things according to the Bible.<\/span><\/li>\n
  5. I understand that membership is granted on an automatically renewable basis and that fees (which can be paid monthly, quarterly, or annually) must be kept current at all times (i.e., paid prior to each monthly meeting) to avoid suspension or cancellation of my membership.<\/span><\/li>\n
  6. I understand that breaching C12\u2019s state core principles and standards may result in the cancellation of my membership.<\/span><\/li>\n
  7. Additionally, before terminating my membership for any reason, I promise to express my intention and reasons for termination to my Business Forum members in my final meeting.<\/span><\/li>\n<\/ol>\n

    C12 Terms of Service<\/span><\/h2>\n

    As indicated above, this Covenant forms part of the Terms of Service. We encourage you to be familiar with the Terms of Service and our Privacy Policy as well. All three of these documents form a collective binding agreement between you and us and you access or use our Services.<\/span><\/p>\n

    Termination; Suspension.<\/b>\u00a0We may terminate or suspend access to our Services and\/or your membership at any time for a breach of this Covenant or as outlined in the Terms of Service.<\/span><\/p>\n

    Limits on Liability<\/b>. All of the limits on liability, including warranty disclaimer and indemnification in the Terms of Service apply equally for the benefit of C12 for purposes of this Covenant.\u00a0<\/span><\/p>\n

    Electronic Communications.<\/b>\u00a0The communications between you and us regarding membership use electronic means, whether through our Services or via email. For contractual purposes, you (i) consent to receive communications from us in an electronic form; and (ii) agree that all terms and conditions, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if it were in a writing.<\/span><\/p>\n

    Changes.<\/b>\u00a0We reserve the right, at our sole discretion, to modify or replace all or part of this Covenant and any of our other membership guidelines at any time without prior notice. Any changes to this Covenant will become effective upon our notifying the change to our membership, whether via the Services or by email.<\/span><\/p>\n
